General terms and conditions

I. Announcement, acceptance and changes to the General terms and

conditions

Project requests submitted via the following link http://orange.be/sponsoring (hereinafter referred to as “the Sponsoring tool”) are processed by Orange Belgium nv, established at Bourgetlaan 3, B-1140 Brussels and registered in the CBE with number 0456.810.810 (hereinafter referred to as “Orange”).

The announcement of the General terms and conditions for the use of the Sponsoring tool (hereinafter referred to as “the General terms and conditions”) is made via the Sponsoring tool. Unless otherwise indicated, all additional notifications and communication by, or on behalf of, Orange are part of the General terms and conditions.

By using the Sponsoring tool or submitting a project request, you accept the General terms and conditions and all decisions Orange makes based on this. Please do not continue using or consulting the Sponsoring tool if you do not wish to accept the General terms and conditions.

Orange is entitled to unilaterally change the General terms and conditions or the Sponsoring tool at any moment. Consult the Sponsoring tool regularly to be certain you are working with the last applicable version.

II. Who is allowed to submit a project request?

Use of the Sponsoring tool is open to any legal entity or natural person in principle, in so far he/she is of age. However, certain projects are specifically reserved for non-profit organisations and/or NGOs or subjected to special conditions.

In case of non-observance of certain conditions or in case of fraud, bad faith, or misuse, Orange reserves the right to exclude certain natural persons or legal entities from the project request procedure.

Orange does not accept project requests of religious or political associations and reserves the right to refuse project requests or participations whose values do not correspond with Orange's values or other aspects of Orange's policy, without Orange having to explain itself. Associations or people that were initially accepted but on closer scrutiny do not meet all the conditions, automatically lose their right to participate in the project request, without possibility of appeal or any right to damages.

III. Procedure

To submit a project request simply fill out the request form on the Sponsoring tool and click “Validate and send”. Only correctly and completely filled out entry forms are valid and will be processed by Orange. Orange will process your request as quickly as possible.

Use of the Sponsoring tool is free. However, you are personally responsible for all other costs incurred following the submission or participation of a request or project (e.g. administrative costs, costs for internet connection, etc.), and you cannot claim any refund or contribution in these costs from Orange.

IV. Intellectual property rights

Orange and/or companies affiliated with Orange are the exclusive owners of, or possess the necessary authorisations for, all intellectual property rights, including all brands, copyrights and database rights relating to all logos, texts, images, software, sounds and other materials that appear on the Sponsoring tool.

Every use of any element of the Sponsoring tool for commercial purposes or the inclusion or incorporation of elements of the Sponsoring tool into another document, another website, a blog or another media file is strictly prohibited.

Unless it is necessary to submit your project request and in compliance with the General terms and conditions, copying, downloading, printing or distributing in any way part or all of the Sponsoring tool is prohibited. Every copy or reproduction, regardless of format or carrier, must clearly specify: “© Orange Belgium nv/s.a. 2016. All rights reserved”.

If the Sponsoring tool allows documents or contributions to be uploaded or added to the Sponsoring tool, make sure these works are not copyright protected, or that you possess the necessary rights or authorisations of the rightful claimants to use the rights in question via the Sponsoring tool. You are obliged to indemnify Orange against all actions or claims instituted by third parties in this respect.

You need to ensure that the documents and contributions you upload or add to the Sponsoring tool cannot damage Orange's hardware (PCs, servers, etc.) and are free of errors, technical defects and viruses. You are prohibited from uploading, adding, publishing or sending material that is defamatory, threatening, shocking, pornographic, or illegal in any other way or can give rise to civil or criminal law infringements, to or from the Sponsoring tool.

Unless explicitly specified otherwise, you grant Orange a non-exclusive, worldwide, permanent, irrevocable, sublicensable, and free licence to distribute and include all documents and contributions you upload on the Sponsoring tool and via all possible means, including external websites, in its advertising and/or information messages and in other media files.

V. Liability

Orange is not liable for any form of improper use of the Sponsoring tool, for the incompatibility of the software and/or hardware you or third parties used with the Sponsoring tool or for any defects, breakdowns or other technical problems of the Sponsoring tool.

Although the Sponsoring tool has been meticulously composed, Orange cannot guarantee that the information that appears on the Sponsoring tool is completely error-free and up-to- date. Orange is not liable for errors, incomplete or incorrect data and information that appears on the Sponsoring tool. Before using data or information from the Sponsoring tool you must always check the correctness.

Orange is not liable for the unavailability of the Sponsoring tool or for delays, interruptions, postponements or cancellations of requests or projects, if the fault cannot be directly attributed to Orange. Nor is Orange liable or are you entitled to any damages for breakdowns, defects, delays or errors in the electronic delivery of products or services requested via the Sponsoring tool. With regard to any cases not explicitly specified in the General terms and conditions, Orange shall make a decision, without the possibility of appeal against this decision.

Orange's liability, as far as legally possible, is excluded for any form of damage (both directly and indirectly), caused by, or following the use of the Sponsoring tool or another website connected with the Sponsoring tool. In any case, Orange is not liable for damage caused by or following data or information that is obsolete, incorrect or incomplete, the unavailability of the Sponsoring tool or the impossibility to use it, or the actions you carry out in the context of the Sponsoring tool.

VI. Privacy

The personal data that Orange collects and processes as part of the use of the Sponsoring tool or the submission or processing of a project request, fall under the Belgian protection of privacy Act of 8 December 1992 on the processing of personal details. Orange acts as the controller of your personal data.

Orange only uses your data to manage your project request and to provide information to you about your project request. Orange will not use your personal data for direct marketing. The (personal) data are removed on termination of the project.

You are entitled to request or change the personal details collected by Orange. To do so you must send a signed and dated request with a copy of your identity card to Orange Belgium nv/s.a., Legal Department, Bourgetlaan 3, 1140 Brussels or send these data electronically to [email protected].

VII. Discontinuation or suspension

Orange is entitled to discontinue or suspend use of the Sponsoring tool if it deems this necessary for strategic, organisational or technical reasons without giving rise to any form of damages.

VIII. Links to other websites

If the General terms and conditions contain links to other Orange websites, the General terms and conditions also apply to the use of these websites, as well as any specific terms and conditions of use that may apply to these websites.

If the Sponsoring tool contains links to websites of third parties, the use of these websites is at your own risk. Orange is not responsible for the security, the content or the quality of these websites and under no circumstance can be held liable for any form of damage that might arise from the use of these websites.

X. Invalidity

If a provision of the General terms and conditions regardless of the reason is considered invalid, non-enforceable or unlawful, the remaining General terms and conditions remain fully in force with the exception of the provision deemed invalid, non-enforceable or unlawful. In that case this provision shall be replaced by a valid and enforceable provision which is in keeping as much as legally possible with the scope and content of the initial provision.

XI. Applicable law

The Sponsoring tool and the creation, interpretation and execution of the General terms and conditions are governed by Belgian law. All disputes arising from or in connection with the Sponsoring tool and/or the General terms and conditions, that

cannot be solved jointly fall under the exclusive jurisdiction of the courts of Brussels.
